Welcome to Apropo AI. These Terms of Service ("Terms") govern your access to and use of the ScopeMatch platform and related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
1. Definitions
"Platform" refers to the ScopeMatch ecosystem, including the AI-driven scoping tools, vendor marketplace, and dashboard interfaces.
"User Content" means all data, project scopes, documents, and communications uploaded or created by you on the Platform.
"Software House" refers to third-party vendor organizations registered on the platform to provide software development services.
2. Services
Apropo AI provides a B2B marketplace platform designed to facilitate project scoping and vendor matching through proprietary AI algorithms.
- We provide tools for generating technical requirements ("Scopes") based on user input.
- We match Users with Software Houses based on technical compatibility, budget, and historical performance data.
- Apropo AI does not guarantee the performance of any Software House matched through the Platform.
3. User Responsibilities
To maintain the integrity of our procurement-grade marketplace, users agree to:
Account Accuracy
Provide accurate, current, and complete information during the registration and scoping process.
Security
Maintain the confidentiality of your account credentials and notify us immediately of any unauthorized access.
4. Intellectual Property
Our commitment to protecting your innovations while maintaining our technological edge:
Your Ownership
You retain all rights to the specific project details and proprietary business requirements you upload to the Platform.
Our Platform
The AI models, matching algorithms, UI/UX, and generated Scope templates are the exclusive property of Apropo AI.
5. Privacy & Data Protection
Apropo AI adheres to high-security B2B data standards. Your data is encrypted in transit and at rest. AI training on User Content is only performed on an anonymized basis to improve the scoping accuracy for the entire ecosystem, unless you explicitly opt-out through your account settings.
Note: Information shared with a Software House during the matching process is subject to the specific NDA agreements established between you and the vendor.
6. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, APROPO AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICES.
